2026 Annual General Meeting of CALIDA Holding AG – All proposals approved

At today’s Annual General Meeting of CALIDA Holding AG, shareholders approved all proposals put forward by the Board of Directors. The motion submitted by shareholder Bernhard Signorell was rejected, in line with the Board’s recommendation.
In the elections to the Board of Directors, Allan Kellenberger and the independent members Corinna Werkle and Andrea Sieber were re-elected for a one-year term extending until the conclusion of the next Annual General Meeting. In addition, Caroline Forster and Nicole Loeb were newly elected as independent members of the Board. Thomas Stöcklin was elected Chairman of the Board of Directors. Shareholders also acknowledged the significant contributions of the outgoing Chairman, Felix Sulzberger, who did not stand for re-election.
The Annual General Meeting approved the management report, the annual financial statements, and the consolidated financial statements for the 2025 financial year. The report on non-financial matters was likewise approved. Furthermore, shareholders endorsed the 2025 compensation report in a non-binding consultative vote.
In line with the Board of Directors’ proposal regarding the appropriation of retained earnings, the Annual General Meeting resolved to distribute a cash dividend of CHF 0.25 per share.
